Wildcard specializes in marketing consulting, campaign strategy, and execution services. The specific details of any engagement will be outlined in a separate agreement or proposal ("Customer Agreement," "Contract"). These Terms govern your use of our Site and Services unless otherwise specified in a signed agreement.
2. Eligibility
To use our Services, you must: be at least 18 years old; have the authority to enter into these Terms on behalf of your company or organization; and provide accurate and complete information.
3. Client Responsibilities
As our client, you agree to: provide all necessary materials, approvals, and access required for the execution of the Services; respond promptly to our requests for feedback or information; and ensure the accuracy of information provided to Wildcard. Failure to meet these responsibilities may impact project timelines and outcomes.
4. Fees and Payment
Fees for Services will be detailed in the Project Agreement. Payment terms, including due dates and accepted payment methods, will also be specified in the Project Agreement. Late payments may incur interest at the rate of 1.5% per month.
5. Intellectual Property
Wildcard retains all rights to processes, templates, methodologies, and intellectual property used in delivering Services. Final deliverables created specifically for the client will become the client's property upon full payment, unless otherwise agreed. Clients are prohibited from reusing or reselling Wildcard's proprietary materials without explicit permission.
6. Confidentiality
Both parties agree to protect each other's confidential information and not disclose it to any third party without prior written consent. Confidential information includes but is not limited to business strategies, proprietary methodologies, and client data.
7. Limitation of Liability
Wildcard is not liable for: indirect, incidental, or consequential damages; losses arising from the use or inability to use our Services; or any errors or omissions in marketing content, provided that we have adhered to agreed-upon review and approval processes. Our total liability is limited to the fees paid for the specific Service in question.
8. Termination
Either party may terminate the relationship by providing written notice as per the terms of the Project Agreement. Upon termination: Wildcard will invoice for work completed up to the termination date. All outstanding balances must be paid within 15 business days.
9. Third-Party Tools and Services
Our work may involve the use of third-party tools or platforms. Wildcard is not responsible for the functionality or terms of these third-party services.
10. Indemnification
You agree to indemnify and hold Wildcard harmless from any claims, damages, or expenses (including attorney's fees) arising from your use of our Services or breach of these Terms.
11. Governing Law
These Terms are governed by the laws of the state of California. Any disputes will be resolved in the courts located in Santa Monica, California.
12. Changes to Terms
Wildcard reserves the right to update these Terms at any time. Updates will be posted on this page with an updated effective date. Continued use of the Site or Services after changes constitutes acceptance of the new Terms.
